A message I received from my former business as VP Marketing with Michael Burton Production, the owner  and his new  partner Sharon M. Henderson. As stated above my position was Vice President Marketing with Michael Burton Productions before they went LLC- CEO Michael Burton Sr...CEO/Founder Michael Burton Productions. 2012 went LLC excluding me from the new Michael Burton Productions LLC...

I (Michele Stoute) am making this a Public Notice to all the internet. coming to me (Michele Stoute) CEO Be Seen Get Heard Promotions from Michael Burton Productions LLC.

I never was a part of Michael Burton Productions LLC nor was I made aware of when Michael Burton Productions went Michael Burton Productions LLC until seen over the internet not to mention Michael Burton Sr.CEO/Founder assisted me in creating Be Seen Get Heard Promotions given me verbal support and advice creating my new business. Never the less he said she said stuff is child like.

This email sent to me from Facebook message reads as follows:

In the absence of an agreement with Michael Burton Productions, LLC that contained restrictive covenants (such as non-compete, non-solicit, invention assignment, confidentiality), which depends on two factors: (1) whether the entrepreneur intends to start a competing or a non-competing venture and (2) the entrepreneur’s position with the company. Key working team members (such as managers, company officers, directors, group leaders) owe fiduciary duty to the company and its stockholders.
The duty of loyalty prevents them from taking the company’s opportunities, competing with the company, and soliciting its employees. They have to always act in the best interests of the company and cannot deliberately harm it. So, while starting a competing business and still a working team member is out of question.
Further, associated team members (regardless of their position with the company) cannot misappropriate the company’s trade secrets and disclose or use the company’s confidential information during and after this association. This applies even when there is no confidentiality agreement in place. According to the Uniform Trade Secrets Act, a trade secret is information that has economic value, but is not easily ascertainable and is subject to reasonable efforts to maintain its secrecy.
In conclusion, after spending time associated with Michael Burton Productions, LLC you made a decision to part ways and create your own Company (Be Seen Get Heard Promotions). We were given these notification months after the fact, so in order to protect our assets we had to file a ‘State of NV’ notarized document and make it plainly visible (our website content) to show that you were no longer associated with Michael Burton Productions, LLC, this protects you and Michael Burton Productions, LLC concerning any future endeavors, lawsuits, bill collections, or litigations.
This notification will be in effect the remainder of 2013, and then will come down; this includes all content about Michele Stoute throughout “MBP’s” Social Media Networks.
